Wholesale Credit Check

Terms and Conditions

1. The Applicant hereby applies to Dutton Automotive for a credit account. Dutton Automotive means each of:

(a) Dutton Garage Wholesale Australia Pty Ltd ACN 615 833 031; and Sell Your Car Fast Australia Pty Ltd (ACN 615 833 059;

(b) any present or future corporation or other business entity controlled by, controlling or under common control with Albert
Automotive Holdings Pty Ltd and/or Albert Automotive Operations Pty Ltd, and for this purpose “control” means the right to
control the composition of the board of directors or the right to cast or control the casting of at least 50% of the maximum
number of votes at a general meeting or the right to at least 50% of the dividends or income of that corporation or other
business entity;

(c) any present or future corporation or other business entity with which any of the companies identified in paragraphs (a) or (b)
above is consolidated or amalgamated or corporatised or merged into or to which all or substantially all of its assets are
transferred;

(d) any present or future corporation or other business entity in which any entity referred to in paragraphs (a) – (c) above has a
shareholding (otherwise than as a simple investment) and, through which, conducts a business; and

(e) a company formed for purposes including the holding of some or all of the issued share capital, assets or liabilities of one or
more of the entities mentioned in paragraphs (a) – (d) above.

2. Should this application be accepted by Dutton Automotive, Dutton Automotive will grant the Applicant a credit account subject
to the terms and conditions of this application and the terms and conditions set out in the Confirmation Letter, including the
Dutton Automotive’s Standard Wholesale Dealer Master Supply Terms and Conditions as referred to in the Confirmation Letter
(and can be found at: https://duttongroup.com.au/wholesale-dealer-master-supply-terms-and-conditions/), and any other terms
and conditions agreed between Dutton Automotive and the Applicant in respect of any trade transactions associated with the
credit account, including provision of additional security.

3. On submission of this application, you agree to provide the information as requested so that we may undertake a review of the
terms of your credit application. You may also need to enter into additional documentation governing these arrangements,
including the Confirmation Letter and any additional documentation referred to in the Confirmation Letter.

4. Dutton Automotive hereby advises that:
• Pursuant to s. 18E (8) of the Privacy Act 1988 (Cth) (Privacy Act), information disclosed in this credit application may be
disclosed to a credit reporting agency. Under Section 18E (8)(c) of the Privacy Act, Dutton Automotive is allowed to give a
credit reporting agency personal information about your credit application. Information which may be given to an agency is
covered by Section 18E (1) of the Privacy Act and includes: identify particulars (as permitted by the Privacy Commissioner’s
determination issued under Section 18E (3)); the fact that you have applied for credit and the amount; the fact that Dutton
Automotive is a credit provider to you; payments that become overdue by more than sixty (60) days and for which collection
action has commenced; advice that payments are no longer overdue; cheques drawn by you which have been dishonoured
more than once; in specific circumstances, that in the opinion of Dutton Automotive, you have committed a serious credit
infringement; and that credit paid to you by Dutton Automotive has been paid or otherwise discharged.
• Pursuant to ss. 18K (1) and 18N (1) of the Privacy Act and paragraph 2.12 of the Credit Reporting Code of Conduct issued
under s 18A of the Privacy Act, by submitting this application, you agree to Dutton Automotive obtaining personal information
from a credit reporting agency or a credit provider providing that information to Dutton Automotive for that purpose. You
further agree to the obtaining from, and provision by, such agency or provider further credit reports which may assist Dutton
Automotive in recovering any sums outstanding under the terms of the commercial credit agreement to which this application
may lead.
